These Terms and Conditions of Use (“Terms”) govern your access to and use of the website at gqs-inc.com (the “Site”) operated by Global Quality Systems, Inc. (“GQS,” “we,” “us,” or “our”). The Site is an informational and marketing resource for our consulting, training, and related services in quality management, cybersecurity, and regulatory compliance (the “Services”). By accessing or using the Site, you agree to be bound by these Terms on behalf of yourself and any organization you represent. If you do not agree, do not use the Site.
These Terms govern use of the Site only. Consulting and training engagements are provided under separate written agreements, and purchases made through our online store, GQS Commerce Cloud at ecommerce.gqs-inc.com, are governed by the separate Terms and Conditions and Privacy Policy posted on that store.
1. Acceptance of Terms
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. We may revise these Terms as described in Section 14, and your continued use of the Site constitutes acceptance of the revised Terms.
2. About the Site and Our Services
The Site provides general information about GQS and our Services, including quality management systems (AS9100/ISO 9001), NIST SP 800-171 and CMMC readiness, and cybersecurity consulting and training. Content on the Site is provided for general informational purposes and does not constitute an offer to provide Services on any particular terms. Any engagement of GQS is subject to a separate quotation, proposal, statement of work, or services agreement.
3. Eligibility
You must be at least 18 years old and able to form a binding agreement to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate and current.
4. Intellectual Property
All content on the Site — including text, graphics, logos, the GQS name and brand, images, layouts, documents, and other materials (collectively, “Site Content”) — is owned by GQS or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except as expressly permitted in Section 5, no Site Content may be copied, reproduced, distributed, republished, publicly displayed, or used to create derivative works without GQS’s prior written consent.
5. Permitted Use and License
Subject to these Terms, GQS grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and internal business purposes. You may print or download individual pages for reference, provided you do not remove any copyright or proprietary notices. All rights not expressly granted are reserved by GQS.
6. Prohibited Conduct

- Use the Site for any unlawful, fraudulent, or harmful purpose;
- Copy, scrape, data-mine, harvest, or systematically extract Site Content, or reverse engineer any part of the Site;
- Interfere with or disrupt the Site, circumvent security or access controls, or upload malicious code;
- Attempt to gain unauthorized access to the Site, related systems, or other users’ information;
- Use the Site to transmit spam or unsolicited communications, or to misrepresent your identity or affiliation; or
- Use any GQS trademark, logo, or brand element without prior written permission.
7. No Professional Advice
Content on the Site is provided for general informational purposes only and is not legal, regulatory, compliance, engineering, or other professional advice, and is not a substitute for a formal consulting or training engagement. GQS does not guarantee any particular compliance outcome, assessment result, or CMMC certification based on Site Content. You should not act, or refrain from acting, on the basis of Site Content without seeking appropriate professional advice specific to your circumstances.
8. Consulting and Training Services
Any provision of consulting or training Services by GQS is governed exclusively by the separate quotation, proposal, statement of work, or services agreement entered into between you and GQS. In the event of a conflict between these Terms and such an agreement with respect to the Services, that agreement governs. Online self-paced courses and e-learning are offered through our separate online store and are governed by the terms posted there.
9. Third-Party Links and Services
The Site may contain links to third-party websites and services that GQS does not control, including our online store at ecommerce.gqs-inc.com and our learning management system. These links are provided for convenience only; GQS is not responsible for the content, products, or practices of third-party sites, and their inclusion does not imply endorsement. Your use of third-party sites is subject to their own terms and privacy policies.
10. Privacy
GQS processes personal information in accordance with its Privacy Policy, available on the Site. By using the Site, you consent to the collection and use of information as described in that Policy.
11. Disclaimers of Warranties
The Site and Site Content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. GQS does not warrant that the Site will be uninterrupted, secure, or error-free, or that Site Content is complete, current, or accurate.
12. Limitation of Liability
To the maximum extent permitted by law, GQS and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to your use of or inability to use the Site or Site Content. GQS’s total aggregate liability for any claim arising out of or relating to these Terms or the Site will not exceed one hundred U.S. dollars (USD $100). Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify and hold harmless GQS from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, violation of these Terms, or violation of any law or third-party right.
14. Modifications to the Site and Terms
GQS may modify, suspend, or discontinue any part of the Site at any time, and may revise these Terms at any time. Revised Terms are effective when posted to the Site with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute in good faith. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Riverside County, California, and you consent to venue there.
16. Miscellaneous
These Terms, together with the Privacy Policy and any applicable services agreement, constitute the entire agreement between you and GQS regarding your use of the Site. If any provision is held unenforceable, the remaining provisions remain in effect. GQS’s failure to enforce any right is not a waiver. You may not assign these Terms without GQS’s consent; GQS may assign them. GQS is not liable for delays or failures caused by events beyond its reasonable control.
